Affiliate agreement

1. Who this agreement is between
This agreement is between you (the affiliate) and Activity Tracker Pte. Ltd., the Singapore company that runs ActivityTracker at activity-tracker.io ("we", "us"). It covers the ActivityTracker partner programme described on our affiliates page.
You accept this agreement when you enroll as an affiliate, or when you first share your referral link or code, whichever comes first. If you do not agree, do not enroll and do not share your link. Our terms of service and privacy policy also apply to your ActivityTracker account.
2. Who can join
You must be at least 18 and able to enter a binding contract. Joining is free and there is no follower or traffic minimum.
Every ActivityTracker account comes with an affiliate record and a referral code. If you enroll from the affiliates page, your account may start as pending until we activate it. We may decline or deactivate any affiliate at our discretion, for example where we think the account is fake or a duplicate.
3. Your link and your codes
Once your account is active, your affiliate dashboard shows your referral link and your code. Your main code gives the customer 10% off their subscription. You can add extra codes, and each extra code either carries the 10% discount or carries none. Codes are 3 to 20 letters or numbers, and we can refuse or remove a code that is reserved, misleading or uses someone else's name or brand.
4. How a referral is tracked
A customer is credited to you when they buy a paid subscription after:
- opening your referral link (a link ending
?ref=YOURCODE) in the same browser within the last 60 days, or - entering your code at checkout.
Your link fills in your code at checkout. If a customer opens more than one affiliate's link, the most recent one fills it in. The code in the checkout's promo field when the customer pays decides which affiliate is credited.
The link is remembered in the customer's browser. If they clear their browser data, switch device or use a private window, we may not see the referral, and we cannot credit a referral we did not record.
When the customer's first paid subscription starts, they are tied to one affiliate for good. We never split a customer between affiliates, and a later link or code does not move them.
5. Referrals that do not count
You earn nothing on:
- your own account or subscription;
- an agency you are a member of;
- a district you lead, or an agency inside a district where you lead or belong to an agency;
- a customer who was already tied to another affiliate;
- any sale that breaks section 9.
Our checkout blocks most of these automatically. Where one gets through, we will cancel the commission.
6. Commission
- Rate. 40% of each paid invoice from a customer tied to you, unless we have agreed a different rate with you in writing. Your rate is shown in your dashboard.
- Basis. The invoice subtotal before any discount and before tax. The customer's 10% discount does not reduce your commission.
- How long. Every month (or every year, on annual billing) the customer pays, for as long as they stay subscribed, as long as your affiliate account is active and this agreement is in force.
- Currency. Commission is in the currency of the customer's invoice, which is Singapore dollars for most plans.
No commission accrues while your account is pending or suspended, and it is not earned back later for invoices paid during that time.
Examples on our website are illustrations. They are not an estimate or a promise of what you will earn.
7. When commission is paid
- Pending. A commission is recorded when the customer's invoice is paid. It stays pending for 30 days.
- Cleared. After 30 days the commission clears and joins your available balance.
- Paid. We run payouts once a week. Your available balance is paid when it reaches at least S$20 and you have a payout method set up. A smaller balance carries forward to the next run.
You choose the payout method in your dashboard: PayPal (you give us your PayPal email) or Stripe (you connect a Stripe account). Commission you earn before you set one up is kept for you until you do. You pay any fees PayPal or Stripe charge you to receive money. If a payout fails because your details are wrong, we will try again once you fix them.
If you think a commission is missing or wrong, tell us within 60 days of the invoice date so we can check it.
8. Refunds, chargebacks and fraud
- If a customer's invoice is refunded, voided or charged back while the commission is still pending, the commission is cancelled.
- If that happens after the commission has cleared or been paid, we may take the same amount off your future commissions, or ask you to repay it if you have no future commissions.
- If we find that a commission came from fraud, a fake account, self-referral or a breach of this agreement, we may cancel it, withhold it, or recover it if already paid.
9. How you may and may not promote ActivityTracker
You may share your link with people who would want it: on your own website, blog, newsletter, social media, in videos, or directly with colleagues and contacts who know you.
You must not:
- send spam, meaning unsolicited bulk email, SMS or WhatsApp messages, or messages to people who have not agreed to hear from you;
- bid on "ActivityTracker", "Activity Tracker", activity-tracker.io or any misspelling of them as a keyword in Google Ads, Bing Ads or any other paid search, or run ads that send people straight to our site through your link;
- register domain names, social handles or app names that contain our name or could be confused with it;
- say or suggest that you are ActivityTracker, that you work for us, or that we endorse you;
- make false or misleading claims about ActivityTracker, its features, its price or its results;
- promise anyone income, sales results or a set amount of earnings, whether from using ActivityTracker or from joining the partner programme;
- use cookie stuffing, hidden frames, forced clicks, pop-unders, or any trick that records a referral without the customer choosing to open your link;
- post your code on coupon, deal or cashback sites, or offer customers cash or gifts to use your code;
- refer yourself, your own agency or your own district (see section 5).
When you recommend ActivityTracker, say plainly that you earn a commission if people sign up through your link.
10. Laws you must follow
You are responsible for making sure your promotion is lawful where you and your audience are. In Singapore that includes:
- The Personal Data Protection Act 2012 (PDPA). Only contact people with their consent, respect the Do Not Call Registry, and do not send us personal data about anyone without their consent.
- The Spam Control Act 2007. Unsolicited commercial electronic messages sent in bulk must follow the Act, including the <ADV> label, an unsubscribe option and honouring unsubscribe requests.
- The Singapore Code of Advertising Practice. Your promotion must be legal, decent, honest and truthful.
If you are a financial adviser representative or work in financial services, your promotion of ActivityTracker must also follow the rules of the Monetary Authority of Singapore (MAS) and of your principal or firm. In particular:
- do not present ActivityTracker as financial advice, or as approved or endorsed by MAS, your firm or any insurer;
- do not suggest ActivityTracker will increase anyone's sales, income or commissions by a set amount;
- get any approval your firm requires for outside business activities or advertising before you promote it;
- never use client personal data from your advisory work to promote ActivityTracker.
11. Our name and materials
We give you a limited, non-exclusive, revocable right to use the ActivityTracker name, logo and the materials we provide, only to promote ActivityTracker under this agreement. Do not change our logo or materials, or use them in a way that could harm our reputation. The right ends when this agreement ends, and you must then remove our marks and links from your channels within 14 days. We may ask you to change or remove any content that mentions us, and you agree to do so within 7 days.
12. Taxes
You are responsible for your own taxes on commission you receive, including income tax and, if you are GST-registered, any GST. Commission amounts include any GST that applies. If you are GST-registered, tell us so we can deal with invoicing correctly. We may withhold tax where the law requires it.
13. Independent contractor
You are an independent contractor. Nothing in this agreement makes you our employee, agent, partner or joint venturer. You cannot make promises, sign agreements or accept payments on our behalf. You pay your own costs of promoting ActivityTracker.
14. Confidential information
Anything we share with you that is not public, such as unreleased features, pricing plans or customer details, is confidential. Use it only for this programme and do not share it. This duty continues after the agreement ends.
15. Customer data
Customers you refer are our customers. Your dashboard shows only what you need to track your referrals and earnings. Do not try to access customer accounts or data, and handle any personal data you do see under the PDPA and our privacy policy.
16. Ending the agreement
- Either of us can end this agreement at any time by email, effective when the email is sent.
- We may suspend your affiliate account straight away while we look into a possible breach.
- When the agreement ends, no new commission accrues. Commission that was already recorded and clears afterwards is paid in the normal way, subject to the minimum and to section 8.
- If we end the agreement because you broke section 5, 9 or 10, all unpaid commission is forfeited.
17. Limits on liability
We provide the programme, the tracking and the dashboard as they are. We do not promise that tracking will be uninterrupted or catch every referral, or that the programme will continue. We may change or close the programme at any time under section 18.
To the fullest extent the law allows, we are not liable for any indirect or consequential loss, lost profits or lost opportunities, and our total liability to you under this agreement is limited to the commission that has cleared and not yet been paid to you. Nothing in this agreement limits liability that cannot be limited by law, such as for fraud.
You agree to cover our losses, costs and reasonable legal fees arising from a claim against us that results from your promotion or your breach of this agreement.
18. Changes to this agreement
We may change this agreement, including the commission rate, by posting a new version on this page and updating the date at the top. For a change that reduces what you earn, we will also email you at least 14 days before it takes effect, and the change will not apply to commission already recorded. If you continue to take part after a change takes effect, you accept it. If you do not accept a change, you can end the agreement under section 16.
19. General
This agreement, with our terms of service and privacy policy, is the whole agreement about the programme. If any part is found unenforceable, the rest still applies. You may not transfer this agreement without our written consent. If we do not enforce a term straight away, we can still enforce it later.
20. Governing law
This agreement is governed by the laws of Singapore. Any dispute arising under it is subject to the exclusive jurisdiction of the courts of Singapore.
